Terms of Service

These Terms of Service (“Terms”) govern your access to and use of our website, products, applications, and services (collectively, the “Services”) effective from 2025. By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Services. While this page outlines some of the key terms of services for using Compass, please refer to your signed license or sub-license agreement for the full list of terms and service conditions applicable to your organisation and account.

Compass IOT (“we”, “us”, "Compass" or “our”) provides a software-as-a-service (SaaS) platform that allows users to access connected vehicle data insights. Our headquarters is based in Australia, with our principal place of business located at 622 Harris St, Ultimo, Australia.

1. Using our Services

Compass will grant you a limited, non-exclusive, non-transferable, and revocable, royalty-free,
worldwide licence to use the Compass Platform and Documentation. By accepting the agreement, the Licensee agrees to be bound by the agreement as a binding contract between the Licensee and Compass.

You agree not to use the Services for any unlawful purpose or to violate any applicable law; Interfere with or disrupt the intergity or performance of the Services and it's data; Reverse-engineer, modify, or attempt to gain unauthorised access to any part of the Services; Use the Services to transmit malware, spam, or other harmful content. You may use our Services in accordance with these Terms and all applicable laws. To use features, you will need to create an account and provide accurate, complete information. You are responsible for maintaining the security of your account.

To register an account, you must be at least 18 years old (or the age of legal majority in your jurisdiction) to use our Services. By using the Services, you represent and warrant that you meet these eligibility requirements. Users of the platform must also have a current and valid license agreement or sub-license agreement or be part of an organisation that has a current and valid license or sub-license agreement with Compass. We reserve the right to suspend or terminate your account if we reasonably suspect any misuse, fraudulent acitivity, or a violation of these terms and the terms outlined in the license or sub-license agreement.

2. Subscriptions and Billing

Access to the Services requires a paid license agreement. The Licensee must pay Fees on the Billing Terms
set out in the Key Details of your license agreement, adjusted for any Adjustments. All Fees are non-refundable for change of mind. Unless otherwise indicated in the Key Details, the Fees are stated as exclusive of local taxes. If local taxes such as GST becomes payable on a supply made under this agreement, the Licensee must pay the GST subject to Compass providing a valid tax invoice.

Compass reserves the right to charge credit card surcharges in the event payments are made using a credit, debit or charge card (including Visa, MasterCard or American Express). Upon mutual consent of both parties, Compass reserves the right to increase the Fees on each anniversary of the Commencement Date, upon
giving to the Licensee at least 30 days’ written notice prior to the date the increase is to take effect. An increase on Fees may be made for various reasons, including to account for any increase in third party vendor fees paid by Compass, fluctuations in currency exchange rates, and changes to the consumer price index.

3. Third Party Services and Terms

The Licensee acknowledges and agrees that the Compass Platform: (i) may be reliant on third party providers and platforms (Third Party Services); and (ii) may be subject to third party terms & conditions (Third Party Terms). (b) The Licensee must comply with any Third Party Terms, including any amendments to Third Party
Terms during the Term, that are applicable to the Compass Platform

4. Intellectual Property

All content, software, and materials provided through the Services, excluding content you upload, are the property of Compass or its licensors, and are protected by copyright and intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms. You may not copy, modify, distribute, or reverse engineer any part of our Services.

5. Service Avaliability and Support

Compass will provide the Licensee with a reasonable level of support where necessary to resolve technical
issues with the Compass Platform (Support Services), subject to the following terms (unless otherwise
specifically agreed in writing): (a) Compass will take reasonable steps to provide Support Services where necessary. The Licensee must first endeavour to resolve any issues with the Compass Platform internally and we will not assist with issues that are beyond our reasonable control. (b) The Licensee is responsible for all internal administration and managing access, including storing back-up passwords and assisting its personnel to access and use the Compass Platform. (c) The Licensee will not have any claim for delay to
its access to the Compass Platform due to any failure or delay in Support Services. (d) The Licensee acknowledges and agrees that Compass may access the Licensee’s account, including Confidential Information the Licensee may store in its account, as reasonably required for Compass to provide the Licensee with Support Services or any other purpose reasonably required to provide the Licensee with the Compass
Platform. The Licensee authorises Compass to access its account in accordance with this clause.

From time to time, the Licensee may request that Compass provide training for the Licensee in relation to the Compass Platform (Training Services). Each request will be considered separately and may be accepted or denied at the sole discretion of Compass. Compass is under no obligation to agree to provide any Training Services.

We aim to maintain reliable access to the Services available but do not guarantee uninterrupted access. From time to time, we may make changes, updates, or improvements to the platform, or temporarily suspend access for maintenance.

6. Termination

We reserve the right to suspend or terminate your access to the Services at our discretion, with or without notice, if we believe you have violated these Terms or if your use poses a risk to us or other users.Upon termination, your right to use the Services will cease immediately, and we may delete any associated data from our systems.

7. Limitation of Liability

Compass does not accept responsibility for any unauthorised use, destruction, loss, damage or alteration to data stored on the Compass Platform or information, computer systems, mobile phones or other electronic devices arising in connection with use of the Compass Platform.

The Licensee must take its own precautions to ensure that the processes which the Licensee employs for accessing the Compass Platform do not expose the Licensee to the risk of data loss, hacking, malware, ransomware, viruses, malicious computer code or other forms of interference.

To the maximum extent permitted by applicable law, the maximum aggregate liability of Compass to the Licensee in respect of loss or damage sustained by the Licensee under or in connection with this agreement, the Compass Platform or any Services is limited to the total fees for a 12-month term as stated on page of this Agreement.

8. Changes to these terms

We may update these Terms from time to time. If we make significant changes, we will provide notice by updating the “Effective Date” above or by other reasonable means. Your continued use of the Services constitutes acceptance of the updated Terms.
